Terms of Service

Last updated: October 23, 2026

These terms are an agreement between Media Leap Inc. ("Loopse", "we", "us") and the business or organisation that uses Loopse ("you", "the Client"). Loopse is a platform that lets you run your own streaming service: your website, apps, content library, live streams, sales and messages to your viewers.

By creating a Loopse account, accepting an invitation, or using Loopse, you agree to these terms. The person who accepts them confirms that they are allowed to do so for the Client.

1. What Loopse provides

1.1 We give you access to the Loopse software: Studio (your control panel), your viewer website, the apps we build for you, video, music, photo and book hosting, live streaming, TV channels, ads tools, email tools, payments tools and the other features switched on for your account.

1.2 We may improve, change or remove features. If we remove a feature you pay for, we will tell you in advance where we reasonably can.

1.3 Some features depend on outside services that you set up and pay for yourself, such as your own payment account (Stripe or Braintree), your own mail server, your own Apple, Google, Amazon, Roku, Samsung or LG developer accounts, ad servers and partners. Your use of those services is between you and them, under their own terms.

2. Your account

2.1 You must give us accurate business details (legal name, address, province or state, country and billing contact) and keep them up to date.

2.2 You are responsible for everything done through your account, including by your staff. Keep passwords private, use two-step sign-in where offered, and remove staff who no longer need access.

2.3 You must be a business or organisation, or a person acting for one, and old enough to make a binding contract where you are.

3. Your content and your rights to it

This section matters most. Please read it carefully.

3.1 You own your content. "Content" means everything you or your staff upload, stream, link to or publish through Loopse: video, music, audio, live streams, photos, books, text, artwork, logos, ads and anything else.

3.2 You must have all the rights you need. Before you upload, stream or sell any content, you must own it or hold every licence, permission and clearance needed to use it the way you use it on Loopse, in every country where it can be seen or heard. This includes, where they apply:

  • copyright in recordings, films, shows, photos, books and artwork;
  • music rights: the composition (publishing), the sound recording (master), public performance, mechanical and synchronisation rights, and any fees owed to rights organisations such as SOCAN, Re:Sound, ASCAP, BMI, SESAC, SoundExchange or their equivalents;
  • rights to broadcast live events, sports, and third-party channels;
  • permission from every recognisable person shown (model releases), and rights to trademarks and logos you show.

Offering content for free does not remove the need for these rights. You alone are responsible for getting them and paying for them.

3.3 Licence to us. You give Media Leap Inc. a worldwide, non-exclusive, royalty-free licence to store, copy, encode, encrypt, resize, cache, transmit, display and perform your content only as needed to run Loopse for you: to deliver it to your viewers and partners you choose, to make previews, thumbnails and search pages you switch on, to back it up, and to keep the service safe. This licence ends when your content is deleted from Loopse, except for copies in backups until they expire.

3.4 No rights checking by us. We do not review, approve or license content and we do not check whether you hold the rights. Our tools that allow free, sign-in or paid access, search pages, sharing, downloads, partner feeds or apps do not mean we have confirmed that you may use them with any content.

4. Content and uses that are not allowed

You must not use Loopse to upload, stream, sell, link to or send:

4.1 content you do not have the rights to (see section 3);

4.2 anything illegal where you or your viewers are, including child sexual abuse material (which we report to the authorities), content that promotes terrorism or violence, hate speech, harassment, threats, or content that invades someone's privacy;

4.3 sexually explicit material, unless we have agreed to it in writing and you use age checks and the content controls Loopse provides;

4.4 malware, phishing, scams, or misleading claims about products, prices or health;

4.5 spam: email or push messages to people who did not agree to receive them, or without a working unsubscribe where the law requires one (such as Canada's CASL and the US CAN-SPAM Act);

4.6 anything that attacks, overloads, probes or tries to get around the security, limits or billing of Loopse, or reaches other clients' data;

4.7 resale of Loopse itself as a platform to other businesses, unless we have agreed to it in writing.

5.1 If someone tells us that content on your service breaks their rights or the law, we may forward the notice to you, ask you to respond, and remove or disable that content, without asking you first where the notice appears valid, the risk is serious, or the law requires it.

5.2 You must deal with complaints about your content promptly, and remove content you are not allowed to use as soon as you learn of it.

5.3 We may suspend or close the accounts of clients who repeatedly break others' rights.

5.4 Rights holders can send notices to support@loopse.io. Notices should identify the work, where it appears on Loopse (the page address), the complainant's contact details, and a statement that the complaint is made in good faith and is accurate. We follow the Canadian notice-and-notice system and the United States DMCA process where they apply.

6. Your viewers

6.1 Your viewers are your customers, not ours. You decide who can sign up, what they can watch and what they pay. You are the seller of anything sold on your service.

6.2 You must publish your own terms of use and privacy policy for your viewers, keep them accurate, and make them reachable from your website and apps. Loopse lets you require viewers to accept your terms at sign-up and keeps a record of each acceptance.

6.3 You are responsible for customer support, refunds, chargebacks, taxes on your sales, consumer-protection rules, accessibility rules and age rules (including rules on children's data, such as COPPA in the US) that apply to your service.

6.4 Sales go to your own payment or app store accounts. We never hold your viewers' money. Chargebacks, refunds and store fees are between you, your viewers and your payment provider.

7. Privacy and data

7.1 For your viewers' personal information, you are in charge of it (the "controller"), and we handle it for you (the "processor") only to run Loopse, keep it secure and follow the law. We do not sell it or use it to advertise to your viewers ourselves.

7.2 We protect data with reasonable security, including encryption of content keys, payment keys and mail passwords, limited staff access and activity logs. No system is perfectly secure. If we learn of a breach affecting your data, we will tell you without undue delay so you can meet your own duties.

7.3 We keep logs and backups for limited periods, as described in our privacy policy and your Studio settings. Deleted data may stay in backups until they expire.

7.4 You must get any consents your viewers need to give (for example for ads, analytics, cookies or marketing messages) and set Loopse's privacy options to match.

7.5 Our own handling of your staff's and billing contacts' information is covered by the Media Leap privacy policy.

8. Fees, invoices and taxes

8.1 You pay the fees in the price plan shown in Studio (for example a monthly fee, storage, bandwidth, stitched ads, partner feeds, and any sales fee agreed for your account). Prices are in US dollars unless your plan says otherwise.

8.2 We invoice monthly. Invoices are charged to the card on file on the due date. Canadian sales taxes (GST, HST, QST or PST) are added based on your business address where they apply; you pay any other taxes, duties or bank charges on your side.

8.3 If an invoice is not paid, we send reminders and may suspend your service. By default suspension happens 30 days after the due date. While suspended, your viewer website and apps stop working, but you can still sign in to Studio to pay or export your content. A payment you dispute with your bank that is decided in our favour makes the invoice unpaid again.

8.4 Fees are not refundable, except where the law requires or where we agree in writing. We may change prices with at least 30 days' notice; changes apply from the next billing month.

9. Apps and outside platforms

9.1 Apps for your service are published under your own store accounts (Apple, Google, Amazon, Roku, Samsung, LG). You are the publisher, you accept each store's rules, and you are responsible for store listings, store reviews, app ratings and in-app purchase rules.

9.2 If you use partners (for example free ad-supported TV channels or ad networks), you choose what they receive and you are responsible for your agreements with them and for having the rights to give them your content.

9.3 Email sent through your own mail server is your mail. You are responsible for following anti-spam laws and your mail provider's rules.

10. Service availability and support

10.1 We work to keep Loopse available and fast, but we do not promise it will be uninterrupted or error-free, and we do not offer a service level guarantee unless we have signed one with you.

10.2 We may do planned maintenance, and we may restrict traffic to protect the service (for example during an attack).

10.3 We provide support by email during business hours. When you ask us to look into a problem, you allow our staff to open a support session in your Studio; each one is logged.

10.4 You should keep your own copies of your original files. Loopse is not a backup service for your master files.

11. Suspension and ending the agreement

11.1 You may stop using Loopse at any time by deleting your company in Studio or asking us. Fees for the month in which you leave remain due.

11.2 We may suspend your service or part of it straight away, without notice where needed, if: you break section 3, 4 or 5; we receive a valid legal order or complaint; your use puts the service, other clients or viewers at risk; or invoices remain unpaid (section 8.3).

11.3 We may end this agreement for any reason with 30 days' written notice, or straight away if you seriously or repeatedly break these terms.

11.4 When a company is deleted, its content, viewers and settings are removed after the waiting period shown in Studio (currently 7 days), and then from backups as they expire. We keep invoices and the records the law or tax rules require.

12. Your promise to protect us (indemnity)

You will defend and compensate Media Leap Inc., its directors, staff and contractors against any claims, demands, fines, losses, damages, and reasonable legal costs that come from: your content (including any claim that it breaks someone's copyright, music rights, trademark, privacy or other rights); your sales, refunds and dealings with your viewers; your use of outside services and partners; your messages to viewers; or your breach of these terms or the law. We will tell you about such a claim promptly, let you control its defence with a lawyer we reasonably accept, and help you at your cost. You may not settle a claim in a way that admits fault for us or makes us pay without our written consent.

13. Disclaimers

Loopse is provided "as is" and "as available". As far as the law allows, we make no promises beyond those written in these terms, including any implied promises of fitness for a particular purpose, merchantability or non-infringement. We do not promise any number of viewers, sales or search rankings, or that app stores, ad partners or other outside services will accept or keep your apps, ads or content.

14. Limit on our liability

14.1 As far as the law allows, we are not liable for lost profits, lost revenue, lost data, lost viewers, damage to reputation, or any indirect, special, consequential or punitive damages, even if we were told they were possible.

14.2 As far as the law allows, our total liability for all claims about Loopse or these terms is limited to the fees you paid us in the 12 months before the event that caused the claim.

14.3 Nothing in these terms limits liability that cannot be limited by law, or your duties under sections 3, 4, 8 and 12.

15. Confidentiality

Each side will keep the other's non-public business information private and use it only for this agreement, except where the law requires disclosure. This does not cover information that is already public or that the other side already had.

16. Changes to these terms

We may update these terms. We will show the new version in Studio and tell your account owner. When we ask for it, the account owner must accept the new version before continuing to use Studio. If you do not agree to a change, you may stop using Loopse before it takes effect. The version date is at the top of this page.

17. General

17.1 These terms, your price plan, and any written agreement signed by both of us are the whole agreement between us about Loopse. If a signed agreement says something different, the signed agreement wins.

17.2 These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of that province decide any dispute, unless both of us agree to another way to resolve it.

17.3 If part of these terms cannot be enforced, the rest stays in force. If we do not enforce a term straight away, we can still enforce it later.

17.4 You may not transfer this agreement without our written consent. We may transfer it to a company that takes over Loopse or Media Leap Inc.

17.5 Neither side is responsible for delays caused by events outside its reasonable control, such as outages of internet or cloud providers, natural disasters, war or government action.

17.6 Notices to us go to support@loopse.io. Notices to you go to your account owner's or billing contact's email address in Studio.

17.7 Sections 3, 5, 6, 8 (amounts owed), 11.4, 12, 13, 14, 15 and 17 continue after this agreement ends.
